Obiettivi formativi

Il corso ha l’obiettivo di studiare i principali aspetti della struttura, dell’organizzazione e delle performance delle imprese e dei mercati. In una prima parte del corso si tratteranno i concetti generali e le imprese a grande base azionaria, le imprese statali, le imprese quotate, gli enti e i gruppi di impresa. In una seconda parte si analizzerà l’economia industriale delle imprese familiari, che rappresentano oltre 5 milioni dei circa 6 milioni di imprese in Italia. In particolare, il programma prevede l'analisi di un’ampia varietà di fenomeni, quali le guerre di prezzo, la creazione di accordi collusivi, la differenziazione dei prodotti, l’investimento in pubblicità, le strategie di deterrenza all’entrata e una serie di operazioni straordinarie quali fusioni, scissioni, conferimenti, cessioni e affitti di azienda, operazioni di M&A (Mergers & Acquisitions), LBO (Leveraged Buyout), trasformazioni, aumenti e riduzioni di capitale sociale. Un’ultima sezione del corso riguarderà le crisi industriali e i relativi strumenti giuridici, aziendali, finanziari e strategici per prevederle, affrontarle e governare efficacemente l’azienda. Lo studio permetterà di comprendere quali siano le caratteristiche della struttura industriale e quale sia l’effetto di tale struttura sull’efficienza del settore e sul benessere dei consumatori. Durante il corso lo studente avrà la possibilità di approfondire le tematiche teoriche affrontate in classe attraverso l’analisi di casi concreti e applicazioni al contesto industriale nazionale e internazionale.

Il corso contribuisce a consolidare le conoscenze nell’ambito dell’Economia Industriale, quale branca della Microeconomia, e la capacità di applicare tali conoscenze, in coerenza con l’area di apprendimento di Economia del corso di laurea triennale in Scienze Statistiche ed Economiche.

Metodi didattici

Lezioni frontali e attività laboratoriali durante le quali verranno presentati e discussi alcuni casi concreti riguardanti le tematiche teoriche affrontate in classe, anche grazie alle testimonianze di professionisti operanti in ambiti industriali di rilevanza nazionale e internazionale.

Modalità di verifica dell'apprendimento

L’accertamento dei risultati dell’apprendimento prevede lo svolgimento di una prova scritta obbligatoria. La prova d’esame è strutturata in quattro domande aperte: tre inerenti a tematiche trattate in aula e una riferita a una delle testimonianze previste durante lo svolgimento del corso.

È dunque fortemente consigliata la presenza in aula durante le suddette testimonianze, anche perché in sede d’esame verrà richiesto un commento su una di esse.

Gli studenti che svolgono il lavoro di gruppo dovranno rispondere, in sede d’esame, soltanto a due delle quattro domande aperte. Qualora il lavoro di gruppo venga superato, ma la prova scritta non abbia esito positivo, il voto ottenuto nel lavoro di gruppo resterà valido per tutti gli appelli successivi. Il lavoro di gruppo incide per il 50% sulla valutazione finale.

La durata della prova d’esame è di un’ora. Il programma d’esame per gli studenti non frequentanti coincide con quello previsto per gli studenti frequentanti.

Learning objectives

The course aims to study the main aspects of the structure, organization, and performance of firms and markets. The first part of the course will cover general concepts, as well as widely held companies, state-owned enterprises, listed companies, institutions, and business groups. The second part will focus on the industrial economics of family businesses, which account for more than 5 million of the approximately 6 million firms in Italy. In particular, the programme includes the analysis of a wide range of phenomena, such as price wars, the formation of collusive agreements, product differentiation, advertising investment, entry-deterrence strategies, and a series of extraordinary corporate transactions, including mergers, demergers, contributions, transfers and leases of businesses, M&A transactions (Mergers & Acquisitions), LBOs (Leveraged Buyouts), transformations, and increases and reductions of share capital. The final section of the course will address industrial crises and the related legal, managerial, financial, and strategic tools needed to anticipate them, address them, and manage firms effectively. The course will enable students to understand the characteristics of industrial structure and its effects on sector efficiency and consumer welfare. During the course, students will have the opportunity to explore the theoretical topics discussed in class through the analysis of real cases and applications to national and international industrial contexts.

The course contributes to consolidating knowledge in the field of Industrial Economics, as a branch of Microeconomics, and the ability to apply such knowledge, in line with the Economics learning area of the Bachelor’s degree programme in Scienze Statistiche ed Economiche.

Prerequisites

It is strongly recommended that students have passed the Microeconomics exam.

Teaching methods

Lectures and workshop activities during which concrete cases related to the theoretical topics discussed in class will be presented and discussed, also through guest lectures by professionals working in industrial sectors of national and international relevance.

Assessment methods

Assessment of learning outcomes includes a compulsory written exam. The exam consists of four open-ended questions: three concerning topics covered in class and one related to one of the guest lectures scheduled during the course.

Attendance at these guest lectures is therefore strongly recommended, also because students will be asked to comment on one of them during the exam.

Students who complete the group project will be required to answer only two of the four open-ended questions in the exam. If the group project is passed but the written exam is not, the grade obtained for the group project will remain valid for all subsequent exam sessions. The group project accounts for 50% of the final grade.

The exam lasts one hour. The exam syllabus for non-attending students is the same as that for attending students.
