Obiettivi formativi

L’obiettivo principale del corso è fornire una specifica formazione sul tema della regolazione e vigilanza non sono del mercato finanziario (tradFi), ma anche delle dui nuovi ambiti che poggiano sulle tecnologie a registro distribuito (DLT), ossia la c.d. Decentralized Finance (DeFi), ove non è chiaramente ravvisabile un’entità centrale, e la Centralized Decentralized Finance (CeDeFi), ossia un ambito in cui un’entità, che può essere anche una banca o una Fintech, offrono servizi relativi a crypto-attività con riferimento al contesto sia italiano sia europeo.
Il corso porrà, infatti, particolare attenzione alla tematica dell'innovazione tecnologica del settore finanziario (FinTech).
Alla fine del corso lo studente sarà in grado di:
interpretare correttamente la normativa finanziaria vigente oggetto di analisi;
applicare i principi giuridici a casi concreti relativi all’attività degli intermediari finanziari e delle nuove imprese Fintech;
valutare gli effetti delle norme sul comportamento degli operatori finanziari tradizionali e che offrono servizi finanziari innovativi.

Il corso è finalizzato ad indagare la regolazione del settore finanziario, con particolare attenzione agli aspetti di regolamentazione e vigilanza pubblica. Il corso cercherà anche di sottolineare gli aspetti critici dell’attuale sistema alla luce della recente innovazione tecnologica (Fintech).

  • Sistema di vigilanza dei mercati finanziari (Consob ed ESMA);

  • Titoli e prodotti finanziari; Cripto-attività

  • intermediari tradizionali e fornitori di servizi di cripto-attività

  • Servizi finanziari e servizi di cripto-attività;

  • robo-consiglio;

  • negoziazione per conto proprio e HFT;

  • regolamentazione del mercato (tradFi e DeCeFi);

  • Offerta pubblica di titoli e cripto-attività

  • Crowdfunding

Modalità di verifica dell'apprendimento

E' prevista una prova scritta, con domande aperte basate sui casi.

La commissione valuterà il livello di apprendimento dei contenuti del programma, il linguaggio giuridico e il raggiungimento di un adeguato approccio critico alle tematiche.

Learning objectives

The main objective of the course is to provide specific training on the topic of regulation and supervision not of the financial market (TradFi), but also of the two new areas based on distributed ledger technologies (DLT), namely CD. Decentralized Finance (DeFi), where a central entity is not clearly discernible, and Centralized Decentralized Finance (CeDeFi), i.e., an area in which an entity, which may also be a bank or a Fintech, offers crypto-activity services with reference to both the Italian and European contexts.
The course will, in fact, pay particular attention to the topic of technological innovation in the financial sector (FinTech).
At the end of the course the student will be able to:
correctly interpret the current financial legislation under analysis;
apply legal principles to concrete cases relating to the activities of financial intermediaries and new Fintech companies;
assess the effects of the rules on the behaviour of traditional financial operators and those offering innovative financial services.

Contents

The course aims to examine the regulation of the financial sector, with particular attention to aspects of public regulation and supervision. The course will also seek to highlight the criticality of the system especially in light of the current technological innovation (FIntech).
